1.0Introduction and Overview

1.1 Purpose and Scope

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the operator of this platform ("we," "us," "our," or the "Platform") regarding your access to and use of the Platform, including all associated websites, applications, services, features, and content (collectively, the "Services").

The Platform provides a digital ecosystem for event participation, business networking, trade facilitation, and related services. These Terms apply to all Users of the Platform, regardless of their account type or role.

1.2 Acceptance of Terms

By accessing or using the Platform in any manner, including but not limited to browsing, registering an account, or utilising any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

For certain features or services, you may be required to provide additional consent or accept supplementary terms. In the event of any conflict between these Terms and any supplementary terms, the supplementary terms shall prevail with respect to the specific feature or service.

1.3 Amendment and Modification

We reserve the right, at our sole discretion, to modify, amend, or update these Terms at any time. Material changes will be communicated to you through reasonable notice, which may include:

  • Notification via the email address associated with your account
  • In-app notification upon your next login
  • A prominent notice on the Platform

Your continued use of the Platform following the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease using the Platform and, where applicable, terminate your account.

1.4 Definitions

In these Terms, unless the context otherwise requires:

  • "Content" means any information, data, text, images, graphics, videos, audio, or other materials uploaded, submitted, or made available on or through the Platform.
  • "Intellectual Property Rights" means all patent rights, copyright rights, moral rights, rights of publicity, trademark rights, trade dress rights, service mark rights, goodwill rights, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence.
  • "Platform" means the digital ecosystem, including all websites, mobile applications, progressive web applications, administrative portals, and related services.
  • "Services" means all features, functionalities, tools, and content provided through the Platform.
  • "User" or "you" means any individual or entity accessing or using the Platform.
  • "User Content" means any Content that a User submits, posts, or otherwise makes available on or through the Platform.

2.0User Accounts and Registration

2.1 Account Creation

To access certain features of the Platform, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information to keep it accurate, current, and complete
  • Not create an account using false or misleading information
  • Not create multiple accounts for purposes of circumventing restrictions

You represent and warrant that you have the legal capacity to enter into these Terms, including being of sufficient age or having obtained parental or guardian consent where required by applicable law.

2.2 Account Types

The Platform supports different account types, each with specific access rights, features, and limitations. Users must select the appropriate account type based on their intended use. Account types carry different levels of access, permissions, and responsibilities.

Users are not permitted to register for or use an account type that does not correspond to their actual role or intended use. The Platform reserves the right to reclassify or restrict accounts if used inconsistently with their intended purpose.

Additional functionality or access privileges available to specific account types may be subject to separate agreements, acceptance of additional terms, or fulfilment of eligibility criteria. The Platform may introduce new account types or modify existing ones, and the general rights and obligations set out in these Terms shall apply unless expressly stated otherwise.

2.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any other authentication methods. You agree to:

  • Not share your account credentials with any third party
  • Not permit others to access the Platform using your account
  • Immediately notify us of any unauthorised access to or use of your account
  • Ensure that you log out of your account at the end of each session

We reserve the right to suspend or terminate your account if we reasonably believe that the security of your account has been compromised or if we suspect fraudulent or unauthorised activity.

2.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms or any applicable laws or regulations
  • Fraudulent, abusive, or otherwise unlawful activity
  • Conduct that we reasonably believe may harm the Platform, other Users, or third parties
  • Extended inactivity of your account
  • Request by law enforcement or other government authorities

If your account is suspended or terminated, you may appeal the decision by contacting us through the contact information provided in Section 13.0. We will review your appeal in good faith.

2.5 Account Deletion

You may delete your account at any time through the account settings or by contacting us. Upon account deletion:

  • Your access to the Platform will be immediately revoked
  • Your User Content may be removed or anonymised
  • Certain data may be retained as required by applicable law or for legitimate business purposes

Account deletion is irreversible. You are responsible for backing up any data you wish to preserve before initiating deletion.

3.0User Conduct and Obligations

3.1 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Illegal Activities: Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations
  • Impersonation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
  • Harassment: Harassing, abusing, threatening, or intimidating others, or engaging in any conduct that is harmful, offensive, or discriminatory
  • Interference: Interfering with or disrupting the operation of the Platform, including introducing viruses, malware, or other harmful code
  • Unauthorised Access: Attempting to gain unauthorised access to the Platform, other User accounts, or any systems or networks connected to the Platform
  • Data Mining: Using any automated means, including robots, spiders, or scrapers, to access the Platform for any purpose without our express written permission
  • Misuse of Services: Using the Platform for any purpose other than its intended purpose

3.2 Content Standards

You are solely responsible for all User Content you submit, post, or otherwise make available on or through the Platform. You agree that your User Content shall not:

  • Be false, inaccurate, or misleading
  • Infringe any third-party Intellectual Property Rights or other proprietary rights
  • Violate any applicable laws, regulations, or industry standards
  • Be defamatory, libellous, obscene, offensive, or otherwise objectionable
  • Promote discrimination, hatred, or violence
  • Contain viruses, malware, or other harmful components
  • Include personal or confidential information of third parties without their explicit consent

3.3 Interaction with Other Users

You agree to interact with other Users in a respectful and professional manner. Your interactions shall not include:

  • Unsolicited commercial communications, spam, or advertising
  • Any form of harassment, abuse, or intimidation
  • Solicitation for illegal or fraudulent activities
  • Sharing of inappropriate or offensive content

You acknowledge that interactions between Users are at their own risk and that we are not responsible for the conduct of any User.

3.4 Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations in connection with your use of the Platform, including but not limited to:

  • Data protection and privacy laws
  • Export control and trade sanctions laws
  • Anti-corruption and anti-bribery laws
  • Consumer protection laws

4.0Intellectual Property

4.1 Platform Ownership

All Intellectual Property Rights in and to the Platform, including but not limited to the software, code, designs, graphics, logos, trademarks, service marks, and content (excluding User Content), are owned by or licensed to us. Nothing in these Terms transfers any ownership rights in the Platform to you.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Remove, alter, or obscure any proprietary notices or labels on the Platform
  • Use our trademarks, logos, or branding without our prior written consent

4.2 User Content

You retain ownership of all Intellectual Property Rights in your User Content. By submitting, posting, or otherwise making User Content available on or through the Platform, you grant us a non-exclusive, worldwide, royalty-free, sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purposes of operating, providing, and improving the Platform and our Services.

This license does not affect your ownership rights and is limited to the purposes of the Platform. The license will terminate upon deletion of your User Content or termination of your account.

4.3 Content Removal

We reserve the right, but have no obligation, to review, monitor, or remove User Content that we believe, in our sole discretion, violates these Terms, applicable laws, or is otherwise objectionable. We are not responsible for the accuracy, completeness, or reliability of any User Content.

4.4 Feedback and Suggestions

Any feedback, suggestions, ideas, or other information you provide to us regarding the Platform shall become our property. We may use such feedback for any purpose without any obligation to compensate you or acknowledge your contribution.

5.0AI and Intelligent Services

5.1 Service Functionality

The Platform may provide intelligent and automated features designed to enhance User experience, facilitate discovery and matching, generate insights, and provide personalised recommendations. These services leverage advanced technologies to process data and generate outputs.

Such services are provided "as is" and "as available" without any guarantee of accuracy, completeness, or reliability. The Platform is continuously evolving, and the capabilities of these intelligent services may change over time.

5.2 Output Limitations

Outputs generated by automated systems are for informational purposes only and are not a substitute for professional advice, independent verification, or human judgment. You are solely responsible for:

  • Verifying the accuracy and appropriateness of any outputs generated
  • Making independent decisions based on your own assessment
  • Seeking professional advice where appropriate

The Platform is not liable for any decisions made or actions taken based on outputs generated by intelligent services.

5.3 Data Use

Your interactions with intelligent services, including the inputs you provide and the outputs generated, may be used to improve the quality and performance of such services. We take reasonable measures to anonymise and aggregate data used for this purpose. Where applicable, you may have the option to opt out of the use of your data for improvement purposes.

5.4 Quality and Safety

We implement reasonable quality controls, confidence thresholds, and content moderation measures to ensure the safety and reliability of intelligent services. However, no automated system is perfect, and we cannot guarantee that all outputs will be accurate, appropriate, or free from errors.

We reserve the right to review, moderate, or override outputs generated by intelligent services where necessary to maintain quality standards or comply with legal obligations.

6.0Privacy and Data Protection

6.1 Data Collection and Processing

Our collection, use, and disclosure of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy.

  • Our legitimate interests, provided they do not override your rights

7.0Limitation of Liability and Disclaimers

7.1 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • ANY DEFECTS WILL BE CORRECTED
  • THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY INFORMATION, CONTENT, OR MATERIALS ON THE PLATFORM ARE ACCURATE, RELIABLE, OR COMPLETE
  • ANY THIRD-PARTY CONTENT, SERVICES, OR MATERIALS ACCESSED THROUGH THE PLATFORM ARE ACCURATE, RELIABLE, OR COMPLETE

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OR OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE PLATFORM
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
  • ANY CONTENT OBTAINED FROM THE PLATFORM
  • UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100), WHICHEVER IS GREATER.

THE FOREGOING LIMITATIONS SHALL NOT APPLY TO LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE.

7.3 Third-Party Services

The Platform may contain links to third-party websites, services, or resources. We provide these links for your convenience only and do not endorse or assume any responsibility for the content, products, or services of any third party. Your use of third-party services is at your own risk and is subject to the terms and conditions of those third parties.

7.4 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms if such failure is caused by events beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, pandemics, government actions, internet or telecommunications failures, or the failure of third-party service providers.

8.0Indemnification

8.1 User Indemnity

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party rights, including Intellectual Property Rights
  • Your User Content
  • Your interactions with other Users

8.2 Procedure

We shall provide you with prompt notice of any claim for which indemnification is sought. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you shall cooperate with us in asserting any available defences and shall not settle any such claim without our prior written consent.

8.3 Survival

The indemnification obligations set forth in this Section 8.0 shall survive the termination of these Terms and your use of the Platform.

9.0Termination and Suspension

9.1 Termination by User

You may terminate these Terms at any time by:

  • Ceasing all use of the Platform
  • Deleting your account, where applicable
  • Providing written notice to us

Upon termination, your access to the Platform will cease, and we will process your personal data in accordance with our Privacy Policy.

9.2 Termination by Platform

We reserve the right to terminate these Terms and your access to the Platform immediately and without prior notice if:

  • You breach any provision of these Terms
  • We are required to do so by applicable law
  • We reasonably believe that your conduct may harm the Platform, other Users, or third parties
  • Your account has been inactive for an extended period

9.3 Suspension

We may suspend your access to the Platform pending investigation if we reasonably believe that:

  • Your account has been compromised
  • You may have breached these Terms
  • Your conduct may pose a risk to the Platform or other Users

We will notify you of any suspension and provide you with an opportunity to address the issue, unless doing so would compromise the investigation or create a security risk.

9.4 Effect of Termination

Upon termination:

  • All rights granted to you under these Terms shall immediately cease
  • You shall immediately cease all use of the Platform
  • We may delete or anonymise your User Content and personal data, subject to any legal retention obligations
  • Certain provisions of these Terms, including those relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law, shall survive termination

10.0Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

10.2 Dispute Resolution Process

We encourage you to contact us first to seek a resolution to any dispute. If we are unable to resolve the dispute informally, the following process shall apply:

  • Negotiation: The parties shall attempt to resolve the dispute through good-faith negotiations within thirty (30) days of written notice.
  • Mediation: If negotiation fails, the parties shall attempt to resolve the dispute through mediation administered by a mutually agreed mediator. The mediation shall be confidential and conducted in Malaysia.
  • Arbitration: If mediation fails, the dispute shall be finally resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in accordance with its rules. The arbitration shall be conducted in Kuala Lumpur, Malaysia, in the English language.
  • Litigation: If the dispute is not subject to arbitration under applicable law, the parties submit to the exclusive jurisdiction of the courts of Malaysia.

10.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

10.4 Statute of Limitations

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or your use of the Platform must be commenced within one (1) year after the cause of action accrues; otherwise, such claim is permanently barred.

11.0Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with any incorporated policies, constitute the entire agreement between you and us regarding your use of the Platform. They supersede all prior agreements, understandings, representations, and communications, whether written or oral.

11.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of ours.

11.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate any of our rights or obligations under these Terms without restriction.

11.5 No Third-Party Beneficiaries

These Terms are for the benefit of the parties and their respective permitted assigns. Nothing in these Terms shall confer upon any third party any legal or equitable right, benefit, or remedy.

11.6 Notices

We may provide notices to you through:

  • In-app notifications
  • A notice posted on the Platform

It is your responsibility to keep your contact information up to date. Notices are effective when sent or posted.

11.7 Language

These Terms are drafted in the English language. Any translation is provided for convenience only, and the English version shall prevail in the event of any conflict or inconsistency.

12.0Specific Provisions by User Role

12.1 Administrative and Governance Roles

Users with administrative or governance roles are granted access for the purpose of overseeing Platform operations, user management, service delivery, and compliance monitoring. Such access is strictly limited to the scope necessary to perform governance and oversight functions.

Administrative users shall not use their access for personal benefit or for any purpose unrelated to their governance duties. Information accessed through administrative accounts may include anonymised analytics, aggregated reports, and operational data as required for governance purposes.

Administrative users shall maintain the confidentiality of all non-public information obtained through their role. Access and permissions are subject to periodic review and may be modified or revoked at any time as determined by Platform management.

12.2 Other User Types

Other user types (including but not limited to participants, service providers, content contributors, and general users) are subject to the general provisions of these Terms, which apply to all users equally.
